Terms and Conditions
These are the General Terms and Conditions of Validopus e.U. (“Validopus,” “we,” “us”). They apply to this website and to your Validopus account. Each service we provide — starting with Censopus — has its own additional Service Terms, which apply alongside these General Terms. Where the two conflict for a specific service, that service’s own Service Terms take precedence.
Our services are provided on a business-to-business (B2B) basis only. By creating a Validopus account, you confirm that you are acting in the course of your trade, business, or profession, and not as a consumer.
1. This website
The content on validopus.com is provided for general information about Validopus and our services. We take reasonable care to keep it accurate and up to date, but it does not constitute professional or legal advice, and we make no warranty as to its completeness or fitness for any particular purpose.
2. Your Validopus account
Creating a Validopus account lets you access the services we provide. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly at office@validopus.com if you suspect unauthorized use.
You must have the authority to enter into a binding contract on behalf of the business or professional practice you represent.
3. Intellectual property
The Validopus name, logos, and the underlying software and platform are our property or that of our licensors, and are protected by copyright and other intellectual property laws. Nothing in these Terms transfers any of that ownership to you.
Content you create or upload while using one of our services — such as assessment content, evidence, or reports — remains yours. You grant us the license necessary to store, process, and display that content back to you as part of providing the service.
4. Liability
We are liable without limitation for damages caused by intent or gross negligence, and for personal injury, in accordance with mandatory Austrian law. For damages caused by slight negligence, our liability is limited to the amount you paid us in the twelve months preceding the event giving rise to the claim, and excludes indirect or consequential damages, to the extent permitted by law.
5. Suspension and termination
You may stop using our services and request deletion of your account at any time, in accordance with our Privacy Policy. We may suspend or terminate your account if you breach these Terms or a service’s Service Terms, use the service unlawfully, or fail to pay amounts owed.
6. Changes to these Terms
We may update these Terms as our services evolve. We will give reasonable notice of material changes. Continued use of your account after such changes take effect constitutes acceptance of the updated Terms.
7. Governing law and jurisdiction
These Terms are governed by Austrian law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The competent court for any dispute is the court with subject-matter jurisdiction in Graz, Austria.
